# Terms of Use

7 February 2026

These Terms of Use (the "Terms") constitute a legally binding agreement between you ("you" or "your") and LDO Labs Inc. and its affiliates (collectively, "Loadout", "we", "our", or "us").

These Terms govern your access to and use of: (a) the websites, web apps, mobile apps, and other online interfaces operated by or on behalf of Loadout (the "Sites"); (b) the Loadout digital interface and systems through which users access the Services (the "Platform"); and (c) the tools and offerings provided by Loadout, including (without limitation) digital asset creation tools, discovery and display tools, trading interface tools, analytics, social features, livestreaming or media features (if any), APIs, and related functionality (the "Services").

By accessing the Platform and/or using the Services, you acknowledge that you have read, understood, and accepted these Terms and agree to be bound by them, as updated from time to time. If you do not understand or accept these Terms in their entirety, you must not use the Platform or Services.

**IMPORTANT NOTICE:** THESE TERMS CONTAIN A MANDATORY BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. PLEASE REVIEW SECTION 26 CAREFULLY.

### 1. Incorporation of Other Documents

These Terms incorporate by reference (and form part of your agreement with us):

1. our Privacy Notice (<https://loadout.xyz/privacy>);
2. any additional policies, guidelines, or rules we publish or communicate to you relating to the Platform or Services (including acceptable use, community/content guidelines, fee schedules, creator onboarding policies, and sanctions/AML policies); and
3. any supplemental terms presented to you for specific Services, features, jurisdictions, or events (including hackathons, promotions, competitions, beta programs, or API use).

In the event of inconsistency:

1. the Privacy Notice prevails over these Terms in respect of personal data matters; and
2. these Terms prevail over any other referenced documents unless otherwise stated.

### 2. Risk Warning and Key Disclosures

#### 2.1 Digital Asset Risk

The Platform and Services involve interacting with user-generated Digital Assets, including memecoins and other tokens. The value of Digital Assets can be extremely volatile, and there is a material risk of economic loss when buying, selling, holding, or otherwise engaging with Digital Assets. You should consider whether participation is suitable for you given your personal circumstances.

#### 2.2 No Advice / No Fiduciary Relationship

You acknowledge and agree that we are not your broker, intermediary, agent, advisor, or fiduciary. We do not provide investment, legal, tax, accounting, or other regulated advice.

#### 2.3 Platform Role (Software Provider Only)

The Platform provides software tools and user interfaces. We do not sponsor, endorse, control, or guarantee any user-generated Digital Asset or any project creator, and we do not guarantee outcomes or performance of any project, token, community, or creator.

#### 2.4 No Custody

Unless expressly stated otherwise in writing by us for a specific feature, the Platform is intended to be non-custodial: users retain control of their private keys and Digital Assets through their wallets. You are solely responsible for safeguarding your wallet credentials, seed phrases, and devices.

#### 2.5 Regulatory Status

User-generated Digital Assets available through the Platform are not reviewed, approved, or endorsed by any regulator. You may not have the benefit of statutory compensation schemes or investor protections.

#### 2.6 Third-Party Infrastructure

Transactions may rely on third-party blockchains, RPC providers, bridges, wallet providers, smart contracts, indexing services, analytics tools, content delivery networks, and other third-party services. We do not control those services and are not responsible for their operation or failures.

### 3. Eligibility; Prohibited Jurisdictions; Sanctions

#### 3.1 Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) and legally capable of entering into binding contracts to use the Platform and Services.

#### 3.2 Prohibited Countries / Restricted Persons

You must not use the Platform or Services if:

1. you are located in, ordinarily resident in, or organized under the laws of any Prohibited Country;
2. you are a Restricted Person (including sanctioned persons, persons on restricted party lists, or persons otherwise prohibited under Applicable Law); or
3. your use of the Platform or Services would violate Applicable Law, including sanctions, export controls, anti-money laundering (AML) and counter-terrorism financing (CTF) laws.

#### 3.3 Screening; Geo-Blocking

We may (but are not required to) implement screening, wallet attribution checks, sanctions/PEP screening, geo-blocking, IP filtering, or other controls to enforce these Terms. You agree we may restrict or terminate access if we reasonably believe you are in violation.

#### 3.4 Your Warranty

You represent and warrant on an ongoing basis that you are not a Restricted Person and are not accessing from a Prohibited Country, and that you will comply with Applicable Law.

### 4. The Platform; Acceptable Use; Market Integrity

#### 4.1 Access Discretion

Use of the Platform and Services is provided at our sole discretion. We may refuse, restrict, suspend, or terminate access at any time for any reason or no reason, subject to Applicable Law.

#### 4.2 Prohibited Conduct

You must not (and must not attempt to), directly or indirectly:

1. use the Platform or Services for any unlawful purpose or in violation of Applicable Law;
2. engage in fraud, deception, or misrepresentation;
3. manipulate markets or engage in Improper Intent (including wash trading, spoofing, layering, pump-and-dump coordination, deceptive marketing, or unfair advantages);
4. post, upload, publish, or disseminate abusive, defamatory, dishonest, obscene, hateful, harassing, or otherwise objectionable content;
5. disseminate false or misleading information about any Digital Asset, creator, or project;
6. impersonate any person or entity or misrepresent your affiliation;
7. attempt to bypass access controls, geo-restrictions, screening, or security features;
8. reverse engineer, decompile, disassemble, or otherwise attempt to derive source code (except to the extent prohibited by law);
9. interfere with or disrupt the Platform, Services, or any networks or servers;
10. use malware, bots, scrapers, or automated access in a manner that harms the Platform or others;
11. violate any third-party rights (including Intellectual Property Rights, privacy rights, or publicity rights);
12. exploit minors or create/market Digital Assets directed at minors; or
13. attempt to obtain unauthorized access to other users' accounts, wallets, private keys, or data.

#### 4.3 Content Integrity / Community Safety

We may remove, restrict, downrank, delist, hide, or disable access to content, Digital Assets, pages, profiles, streams, or materials (in whole or in part) at our sole discretion.

### 5. Accounts; Wallets; Security

#### 5.1 Accounts

Some features may require an account. You must provide accurate, complete, and current information and keep it updated.

#### 5.2 Wallets

You may connect a third-party wallet or generate a wallet through a third-party provider integrated into the Platform (a "Wallet"). Your Wallet is provided and controlled by you and/or the wallet provider. We do not custody your private keys.

#### 5.3 Security

You are responsible for safeguarding your Wallet, credentials, devices, and authentication methods. You must notify us promptly if you suspect unauthorized access, compromise, or Security Breach.

#### 5.4 Wallet Provider Terms

Your use of any wallet provider is subject to that provider's terms. We are not responsible for the operation, features, or security of any wallet or wallet provider.

### 6. Records; Data; Monitoring

#### 6.1 Records

We may maintain activity records (including transaction and account activity) to enable your continued use of the Platform and for compliance, security, tax, accounting, and enforcement purposes, as described in the Privacy Notice.

#### 6.2 Monitoring; Disclosures

We may be required (or may choose) to disclose information about your activity to affiliates, service providers, professional advisors, or authorities to comply with Applicable Law, respond to lawful requests, or enforce these Terms.

### 7. Transactions; Instructions; Finality

#### 7.1 Instructions

By submitting any command to the Platform (an "Instruction") you authorize the Platform to broadcast, submit, or otherwise facilitate the relevant transaction(s) (a "Transaction") as supported by the Platform.

#### 7.2 Transaction Finality; Network Risk

Blockchain Transactions may be irreversible. We do not control the underlying networks. You assume all risk of delays, failures, congestion, forks, chain reorganizations, validator issues, MEV, front-running, and Network Events.

#### 7.3 Improper Intent; Manifest Error

Where you execute any Transaction with Improper Intent and/or in the case of Manifest Error, you authorize us (without payment, penalty, or liability due by us, and subject to Applicable Law) to cancel/void such Transaction to the extent possible, take such actions as we reasonably deem fit, and treat the Transaction as if it had never been entered into.

#### 7.4 Third-Party Interfaces

You may access Services via third-party interfaces or bots as we may permit from time to time, provided such access complies with these Terms and any additional terms we impose.

### 8. Fees; Calculations; Taxes

#### 8.1 Fees

Fees for certain Services (including token creation fees, transaction fees, creator tooling fees, display/boosting fees, or other fees) will be disclosed through the Platform and/or a published fee schedule. We may charge fees for access to the Platform in the future.

#### 8.2 Authorization to Deduct Fees

You expressly authorize us (where technically supported) to deduct applicable fees, commissions, and other sums you owe under these Terms from your connected Wallet as part of the relevant Transaction flow.

#### 8.3 Fee Changes

We may adjust fees from time to time by updating the fee schedule and/or these Terms. If you do not accept changed fees, you must cease use. Continued use constitutes acceptance.

#### 8.4 Calculations

Any calculations of fees made by us in connection with your use of the Services are final and binding in the absence of Manifest Error.

#### 8.5 Taxes

You are solely responsible for determining and paying all applicable taxes arising from your use of the Platform or Services.

### 9. Creators; Launches; Creator Compliance

This Section applies if you create, deploy, list, promote, or otherwise launch any user-generated Digital Asset, token, or project through the Platform (a "Creator").

#### 9.1 Creator Onboarding

We may require you to provide certain information as part of our creator onboarding process. We reserve the right to request identity verification, project details, or other information as we deem necessary for compliance, risk management, or platform integrity. We may refuse or revoke onboarding at our sole discretion.

#### 9.2 Additional Information

We may request additional information for higher-risk projects at our discretion.

#### 9.3 Update Obligations

You agree to keep your project information current and promptly notify us of material changes (including team, tokenomics, or legal status).

#### 9.4 Creator Representations and Warranties

You represent, warrant, and covenant that:

1. you will not commit fraud or misrepresentation;
2. you have all rights necessary for all branding, content, and materials you provide and will not infringe third-party rights;
3. you will comply with Applicable Law, including AML/CTF and sanctions laws;
4. you will not offer or target restricted persons or prohibited jurisdictions;
5. disclosures you make (including tokenomics, allocations, vesting, insider wallets, and team wallets) are true, complete, and not misleading; and
6. you will not market your Digital Asset as a regulated product or as backed/yield-bearing unless you have all required approvals and disclosures and have been expressly permitted by us in writing.

#### 9.5 Creator Indemnity

You agree to indemnify and hold harmless Loadout (and its officers, directors, employees, contractors, agents, and affiliates) from and against Losses arising out of or relating to: (a) your launch, token, project, or marketing, to the extent caused by your acts or omissions; (b) your breach of these Terms; (c) any allegation that your Digital Asset constitutes an unregistered security or unlawful offering; or (d) any third-party intellectual property or rights violation relating to your User Materials. This indemnity does not apply to Losses caused primarily by Loadout's gross negligence or willful misconduct.

#### 9.6 Right to Delist / Disable UI Visibility

We may delist, hide, restrict, remove, or disable user interface visibility for any Creator, project, or Digital Asset, including for compliance concerns, user safety, dispute risk, or policy violations.

### 10. User Materials; Content; Takedowns

#### 10.1 User Materials

You may upload, post, stream, publish, create, or otherwise provide content through the Platform (collectively, "User Materials"), including Digital Assets, text, images, metadata, profiles, links, messages, streams, audio/video, and promotional content.

#### 10.2 Your Responsibility

You are solely responsible for your User Materials and for ensuring they comply with these Terms and Applicable Law.

#### 10.3 Content Removal

We have the right (but not the obligation) to remove, modify, reject, restrict, or disable any User Materials and/or user-generated Digital Assets at our sole discretion.

#### 10.4 Intellectual Property Complaints

We may implement a takedown process for IP complaints. You agree that we may remove content upon receipt of a complaint, and you consent to disclosure of relevant information as reasonably necessary to process disputes.

### 11. Intellectual Property; Licenses

#### 11.1 Loadout IP

All intellectual property owned by or licensed to Loadout relating to the Platform and Services (the "Loadout IP") remains vested in Loadout and/or its licensors. No rights are granted except as expressly stated.

#### 11.2 License to You

We grant you a limited, non-exclusive, non-transferable, revocable license during the term of these Terms to use the Platform and Services solely as necessary to access the Services in accordance with these Terms. Creators are expressly authorized to use the Platform for commercial purposes in connection with their launches.

#### 11.3 Your IP

As between you and us, you retain ownership of IP in your User Materials (the "User IP") except to the extent it becomes part of Created IP (defined below) or as otherwise provided.

#### 11.4 License to Us

You grant us a non-exclusive, royalty-free, worldwide license to use, host, store, reproduce, modify, adapt, publish, display, communicate, perform, create derivative works of, and distribute your User Materials and User IP solely to the extent necessary to: (a) operate and provide the Platform and Services; (b) enforce these Terms and policies; (c) promote the Platform (subject to the Privacy Notice); and (d) comply with Applicable Law. This license continues for the duration of your use of the Platform and a reasonable wind-down period thereafter. This includes the right to sublicense to service providers and affiliates as required. For clarity, you retain full ownership of your game assets, branding, creative works, and token designs—this license only permits us to display and facilitate your content on the Platform.

#### 11.5 Created IP

To the extent any intellectual property is created by you using the Platform that is specifically part of the Platform's core infrastructure, tooling, or technical integrations (the "Created IP"), Created IP vests in us upon creation. You hereby assign to us all right, title, and interest in Created IP and agree to execute documents necessary to perfect that assignment. For clarity, Created IP does not include your game content, branding, token designs, marketing materials, or other creative works you develop independently—those remain your property under Section 11.3.

### 12. Prohibited Digital Assets; Backed Assets; Misleading Claims

You must not create or promote Digital Assets that:

1. claim to be backed or pegged (e.g., fiat-backed, commodity-backed, or algorithmic "stablecoins") unless expressly permitted and fully compliant;
2. promise yield, revenue share, dividends, or investment returns unless expressly permitted and fully compliant;
3. impersonate brands, public figures, or third parties without authorization;
4. contain illegal content or facilitate illegal activity; or
5. are otherwise prohibited by our policies.

### 13. Third-Party Services; Links

The Platform may contain links to third-party services or integrate third-party tools. We do not control and are not responsible for third-party services, their content, availability, security, or terms. Your use is at your own risk and subject to third-party terms.

### 14. Suspension; Termination; Survival

#### 14.1 Termination by Us

We may suspend or terminate your access (including accounts, creator privileges, or feature access) at any time for suspected breaches, compliance concerns, risk concerns, or user safety. For Creators in good standing (no active policy violations or compliance concerns), we will use reasonable efforts to provide fourteen (14) days' prior written notice before terminating access, except where immediate termination is required by Applicable Law or to protect user safety.

#### 14.2 Effect of Termination

Upon termination, your right to use the Platform and Services ceases immediately. Provisions that by their nature should survive termination will survive, including (without limitation): risk disclosures, IP provisions, limitations of liability, indemnities, dispute resolution, and general terms.

### 15. No Responsibility for User-Generated Digital Assets

You acknowledge and agree that:

1. user-generated Digital Assets are created by users/Creators, not by us;
2. we do not control or guarantee supply, tokenomics, liquidity, or creator actions;
3. we do not verify claims made by Creators; and
4. your interactions with any Digital Asset or Creator are at your sole risk.

### 16. Security; Malware; Phishing; Spoofing

We are not liable for malware, phishing, spoofing, SIM swaps, wallet drainer attacks, compromised private keys, or similar attacks. You are responsible for using reasonable security measures, including antivirus software and secure credential management.

### 17. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Platform or Services will be uninterrupted, error-free, secure, or free of harmful components, or that defects will be corrected.

### 18. Limitation of Liability

#### 18.1 Exclusion

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOADOUT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND LICENSORS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

#### 18.2 User-Generated Assets

We are not liable for any loss related to user-generated Digital Assets or Creator conduct.

#### 18.3 Liability Cap

To the maximum extent permitted by Applicable Law, our total liability to you under any circumstance will not exceed the total fees you paid to us (if any) for the Transaction or Service giving rise to the claim. This amount represents full and final settlement of any claim.

#### 18.4 Time Bar

Any claim must be brought within one (1) year after the cause of action arose, unless Applicable Law requires otherwise.

#### 18.5 Remedies

You agree monetary damages are an adequate remedy and you are not entitled to injunctive relief or specific performance against us, except where prohibited by Applicable Law.

### 19. Indemnification

You agree to indemnify, defend, and hold harmless Loadout and its affiliates, officers, directors, employees, contractors, consultants, agents, and licensors from and against all claims, liabilities, damages, losses, and expenses (including reasonable legal fees and costs) arising out of or relating to:

1. your use of the Platform or Services;
2. your User Materials;
3. your breach of these Terms or Applicable Law;
4. your violation of any third-party rights; or
5. any dispute between you and any third party (including another user or Creator).

### 20. Release

To the maximum extent permitted by Applicable Law, you irrevocably and unconditionally release Loadout from any and all claims and demands arising out of or in connection with any dispute you have with another user, Creator, or third party connected in any way with the Platform or Services.

### 21. Force Majeure

We are not liable for any delay or failure to perform resulting from a Force Majeure Event.

### 22. Communications; Notices

We may provide notices electronically, including via the Platform, email, messaging apps, or social media handles you provide or that we can reasonably associate with you. You must provide notices to us through the contact methods specified in Section 27.

We may record communications with you (including calls and messages) as evidence and for support, where permitted by Applicable Law.

### 23. Privacy; Data Protection

Your personal data will be processed in accordance with our Privacy Notice (<https://loadout.xyz/privacy>) and Applicable Law. You acknowledge that we may collect and retain data for compliance, security, recordkeeping, and risk management purposes, including creator onboarding and monitoring.

### 24. General Terms

#### 24.1 Entire Agreement

These Terms constitute the entire agreement between you and us regarding the Platform and Services.

#### 24.2 Assignment

You may not assign your rights or obligations without our prior written consent. We may assign our rights and obligations freely.

#### 24.3 Severability

If any provision is held invalid or unenforceable, the remainder remains in full force and effect.

#### 24.4 No Waiver

No failure or delay to exercise any right operates as a waiver unless in writing.

#### 24.5 No Partnership

These Terms do not establish a partnership, joint venture, or agency relationship.

#### 24.6 Translations

In case of conflict, the English version prevails.

#### 24.7 Third-Party Beneficiaries

These Terms do not create third-party beneficiary rights.

#### 24.8 Confidentiality of Other Users' Information

If you receive another user's information, you must keep it confidential and use it only lawfully.

#### 24.9 Set-Off

We may set off amounts you owe us. You must pay what you owe free from deductions or counterclaims, unless prohibited by Applicable Law.

### 25. Governing Law

Aside from where Applicable Law requires or provides you with a choice otherwise, these Terms (including the arbitration agreement) are governed by and construed in accordance with the laws of Panama.

### 26. Dispute Resolution; Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS. IT CONTAINS PROCEDURES FOR MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER.

#### 26.1 Binding Arbitration

Except for disputes where we seek injunctive or equitable relief related to intellectual property or misuse of the Platform, you waive your rights to have disputes adjudicated in court or before a jury. All disputes must be resolved by binding arbitration.

#### 26.2 Informal Dispute Resolution

You must notify us in writing of any dispute within thirty (30) days of its arising and engage in good-faith informal resolution efforts (including at least one telephonic/video conference) before commencing arbitration.

#### 26.3 Arbitration Process

Arbitration will be conducted in Dubai, UAE under the DIFC-LCIA Arbitration Rules by a single arbitrator with relevant experience. The language will be English. Arbitration is private and confidential except as required by law.

#### 26.4 No Class Actions

All disputes must be brought individually. Class arbitrations, class actions, and representative actions are strictly prohibited.

#### 26.5 Consolidation / Mass Arbitration Procedures

If multiple similar claims are filed, claims may be consolidated or batched using bellwether procedures, mediation steps, and staged proceedings, as permitted by Applicable Law and the applicable arbitration rules.

#### 26.6 Severability

If any part of this arbitration clause is found unenforceable, the remainder will still apply to the maximum extent permitted by law.

#### 26.7 Arbitrability

The arbitrator has exclusive authority to determine the scope, validity, and arbitrability of any dispute.

#### 26.8 Survival

This arbitration provision survives termination of these Terms.

### 28. Definitions and Interpretation

#### 28.1 Interpretation Rules

1. Clause headings and numbering are for convenience only and do not affect interpretation.
2. "Include" and "including" mean "without limitation".
3. Any obligation not to do something includes not permitting it to be done.
4. Words in the singular include the plural and vice versa; words referring to gender include all genders.
5. References to documents include any variations or amendments not in breach of these Terms.
6. Capitalized terms have the meanings assigned unless the context requires otherwise.

#### 28.2 Defined Terms

"Activity History"

means the record of your Transactions and activity on the Platform and Services.

"Applicable Law"

means all relevant laws, regulations, rules, and legal requirements in any jurisdiction applicable to the provision or use of the Platform or Services.

"Backed Digital Assets"

means Digital Assets that claim to be backed or pegged to another asset, such as fiat, commodities, or other cryptocurrencies.

"Claim / Dispute"

means any dispute or legal controversy between you and Loadout relating to these Terms, your use of the Platform, or related non-contractual obligations.

"Control"

means power to direct the affairs of an entity, including majority ownership, board appointment rights, or equivalent authority.

"Creator"

means a user who creates, deploys, lists, promotes, or launches a user-generated Digital Asset using the Platform or Services.

"Created IP"

means intellectual property created by you that is specifically part of the Platform's core infrastructure, tooling, or technical integrations, as described in Section 11.5. It does not include your game content, branding, token designs, or independent creative works.

"Digital Assets"

means digitally represented value stored and transferred via distributed ledger technologies, including cryptocurrencies, NFTs, and tokenized derivatives.

"Force Majeure Event"

means any unforeseeable circumstances that prevent or delay performance—e.g., natural disasters, war, pandemics, strikes, widespread outages, or major technical failures.

"Improper Intent"

means fraudulent, abusive, deceptive, or manipulative behavior as determined by us, including unfair advantages, market manipulation, wash trading, spoofing, or coordinated deceptive activity.

"Instruction"

means any command submitted by you to the Platform to execute a Transaction.

"Intellectual Property Rights"

means all copyrights, patents, trademarks, design rights, domain names, trade secrets, confidential information, and similar rights worldwide.

"Loadout"

means LDO Labs Inc. and its affiliates.

"Loadout IP"

means all intellectual property owned by or licensed to Loadout relating to the Platform and Services.

"Manifest Error"

means any obvious mistakes in data or actions that are clear and indisputable.

"Network Event"

means events on a blockchain (e.g., 51% attacks, forks, chain reorganizations) that compromise Digital Asset records or control.

"Privacy Notice"

"Prohibited Countries"

means high-risk jurisdictions and sanctioned territories, including (without limitation) Cuba, Iran, North Korea, Syria, and any other jurisdiction subject to international sanctions or that we designate from time to time.

"Restricted Person"

means any person or entity that is sanctioned, on a restricted party list, or otherwise prohibited under Applicable Law.

"Security Breach"

means any unauthorized access or cyberattack affecting you, us, the Platform, or Services.

"Sites"

means the websites, web apps, mobile apps, and other online interfaces operated by or on behalf of Loadout.

"Platform"

means the Loadout digital interface and systems through which users access the Services.

"Services"

means the tools and offerings provided by Loadout, including digital asset creation tools, discovery and display tools, trading interface tools, analytics, social features, APIs, and related functionality.

"Terms"

means these Terms of Use.

"Transaction"

means the creation, buying, selling, swapping, transferring, or other interaction with Digital Assets on or through the Platform.

"User Materials"

means all content (e.g., Digital Assets, posts, images, streams, metadata) that you upload, publish, or create via the Platform.

"User IP"

means intellectual property rights in your User Materials.

"Wallet"

means the digital wallet you connect to the Platform or generate through a third-party wallet provider integration.
