#### **Loadout Terms of Use**

This Terms of Use agreement (the **“Terms”**) is a legally binding agreement between you (“**User**”, “**you**”, or “**your**”) and Loadout.xyz (“**Loadout**”, “**we**”, “**us**”, or “**our**”) regarding your access to and use of our website (loadout.xyz), platform, services, and smart contracts (collectively, the **“Services”**).

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.

#### 1. Introduction

Loadout is a platform on Solana that enables indie and AA game studios to launch tokens and raise capital through community trading. Every trade contributes fees directly to project treasuries to fund game development.

The Services include:

* The Loadout website and launch interface
* Project creation and token launch tools
* Bonding curve and Meteora DLMM trading mechanics
* Treasury management and vesting tools
* Discovery, project pages, and community features

#### 2. Eligibility

You represent and warrant that:

* You are at least 18 years old (or the age of majority in your jurisdiction).
* You have the legal capacity to enter into these Terms.
* You are not located in, or a resident of, any jurisdiction where use of the Services is prohibited by law.
* You are not on any sanctions lists (e.g., OFAC).
* You will comply with all applicable laws when using the Services.

#### 3. Risk Acknowledgment

**Blockchain and Cryptocurrency Risks**\
You understand that:

* Digital assets and tokens are highly volatile.
* Blockchain transactions are irreversible.
* Smart contracts carry technical and security risks.
* You may lose all funds invested.
* Past performance is not indicative of future results.
* Regulatory environments may change.

You acknowledge these risks and agree to use the Services at your own risk.

#### 4. User Accounts and Wallet Connection

* You may connect a Solana wallet to access certain features.
* You are responsible for maintaining the security of your wallet and private keys.
* We are not responsible for any loss resulting from unauthorized access to your wallet.
* All on-chain actions require your explicit wallet signature.

#### 5. Project Launches and Token Creation

* Studios are responsible for the accuracy of all project information provided.
* Token metadata (name, symbol, description, image) is permanent once launched.
* Loadout reserves the right to review, approve, or reject projects at its discretion during the initial curated phase.
* You agree not to launch misleading, fraudulent, or low-quality projects.

#### 6. Intellectual Property

* You retain ownership of your project content (descriptions, images, GDDs, etc.).
* By launching on Loadout, you grant us a worldwide, royalty-free license to display, promote, and distribute your project content on the platform.
* You warrant that all content you upload does not infringe third-party rights.

#### 7. Fees and Treasury

* A 5% fee applies to all trades (4% to project treasury, 1% to Loadout protocol).
* You understand that trading fees are automatically routed as described in the Whitepaper.
* Loadout does not take custody of project treasuries.

#### 8. Prohibited Conduct

You agree not to:

* Use the Services for any illegal purpose.
* Launch scam, rug-pull, or fraudulent projects.
* Manipulate trading activity or engage in wash trading.
* Attempt to circumvent security or access controls.
* Upload content that is harmful, defamatory, or infringing.

#### 9. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, including for violation of these Terms.

#### 10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

#### 11. Limitation of Liability

To the maximum extent permitted by law, Loadout and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services.

#### 12. Indemnification

You agree to indemnify and hold Loadout, its founders, team members, and affiliates harmless from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

#### 13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Panama, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of the Republic of Panama. You agree to submit to the personal jurisdiction of such courts for the purpose of litigating any such action and waive any objection to venue in such courts.

#### 14. Changes to Terms

We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the new Terms.
